Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Signalz (the “App” or “Service”) provided by JAS Technology Inc. (“Signalz,” “we,” “us,” or “our”). By installing the App on a Shopify store (“Store”) or otherwise using the Service, you (“you,” “merchant,” or “Customer”) agree to these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. The Service

Signalz provides operational alerts, reporting, notifications, and related functionality for Shopify merchants, as described in the App’s listing, onboarding materials, and in-app experience. We may modify, suspend, or discontinue features with reasonable notice where practicable or where required for security, compliance, or operational reasons.

2. Shopify platform and third-party services

The App is provided through Shopify and is subject to Shopify’s Terms of Service, API Terms of Use, Partner Program Agreement (as applicable), and other Shopify policies that apply to your Store. We are not responsible for Shopify’s services. Your use of Slack, SMS gateways, email providers, or other integrations may be subject to those providers’ terms.

3. Account, eligibility, and merchants

You must have an active Shopify account and comply with Shopify’s rules. You are responsible for all activity under your Store and for ensuring your staff and integrations comply with these Terms. You must provide accurate information and keep credentials secure.

4. License and acceptable use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in connection with your Store. You will not (and will not permit anyone else to): reverse engineer the Service except as permitted by law; probe, scan, or attempt to breach security; interfere with other users; use the Service to send spam or unlawful content; misrepresent your identity; use the Service in violation of law or Shopify policies; or access the Service to build a competing product using our non-public interfaces.

5. Customer data and privacy

Our collection and use of data is described in our Privacy Policy. You authorize us to access, process, store, and use information made available by Shopify or you as reasonably necessary to provide the Service. You represent that you have obtained any notices or consents needed under applicable law for your use of the Service with your Store data, including any end-customer data processed through Shopify’s APIs.

6. Fees and trials

Fees, billing cadence, free trials, and refunds (if any) are determined by the pricing presented in the Shopify App subscription flow and/or your agreement with Shopify. You agree that Shopify may collect payment for the App according to your Shopify billing settings.

7. Intellectual property

We retain all rights, title, and interest in the Service, our branding, and our technology. Feedback you provide may be used to improve the Service without obligation to you. You retain ownership of your Store content; we do not claim ownership of your trademarks or data.

8. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the purposes of these Terms, except as required by law.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT NOTIFICATIONS WILL BE DELIVERED OR TIMELY. CARRIERS AND THIRD-PARTY PLATFORMS MAY BLOCK OR DELAY MESSAGES OUTSIDE OUR CONTROL.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100), IF NO FEES APPLIED. CERTAIN JURISDICTIONS DO NOT ALLOW SOME LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnity

You will defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your Store, your content, your breach of these Terms, or your violation of applicable law or Shopify policies.

12. Term and termination

These Terms apply from your first use of the Service until terminated. You may stop using the Service at any time by uninstalling the App from your Store. We may suspend or terminate access if you breach these Terms, if required by Shopify or law, or to protect the Service or other users. Provisions intended to survive termination (including Sections 7, 9–15) will survive.

13. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If a change is material, we will provide additional notice as appropriate under law or Shopify App Store requirements. Continued use after the effective date constitutes acceptance of the revised Terms.

14. General

These Terms constitute the entire agreement between you and us regarding the Service and supersede prior discussions. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts located in Toronto, Ontario will have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction where applicable.
